1. Acceptance of Terms

By accessing or using the Tact platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Tact provides an AI-powered calendar intelligence platform that includes meeting preparation, follow-up automation, relationship tracking, and scheduling optimization. The Service integrates with third-party calendar providers (Google Calendar, Microsoft Outlook) and may process meeting content to deliver its features.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam or unsolicited communications
• Upload malicious code or content that infringes third-party rights
• Resell or redistribute the Service without written permission

5. Subscription and Billing

Certain features require a paid subscription. By subscribing, you agree to pay all applicable fees. Subscriptions renew automatically unless cancelled before the renewal date. We may change pricing with 30 days' notice. Refunds are handled on a case-by-case basis.

Free Trial

We may offer free trials. At the end of a trial, your subscription will automatically convert to a paid plan unless you cancel. We will notify you before the trial ends.

6. Your Data

You retain ownership of all data you provide to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide and improve the Service. We will not use Your Data to train AI models without your explicit consent. Our handling of Your Data is further described in our Privacy Policy.

7. Intellectual Property

The Service, including its design, code, features, and content (excluding Your Data), is owned by Tact AI, Inc. and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service. "Tact" and our logo are trademarks of Tact AI, Inc.

8. Third-Party Integrations

The Service integrates with third-party services (Google, Microsoft, and others). Your use of those services is governed by their respective terms. We are not responsible for third-party services' availability, accuracy, or practices.

9. AI-Generated Content

The Service uses AI to generate meeting summaries, follow-up drafts, relationship insights, and other content. AI-generated content is provided as suggestions and may contain inaccuracies. You are responsible for reviewing and approving any AI-generated content before use. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

10. Limitation of Liability

To the maximum extent permitted by law, Tact AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify and hold harmless Tact AI, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. You may close your account through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days after termination.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
